1. General Information
These Terms and Conditions govern the use of elanusparts.com and purchases made through the website. The store is operated by UAB Elanus, company code 303223851, VAT code LT100012990914, trading as Elanus Parts ("we", "us" or "our").
By placing an order, you confirm that you have read and accepted these Terms. The version accepted when the order is placed applies to that order. Nothing in these Terms limits mandatory rights granted by Lithuanian or European Union law.
A "consumer" is a natural person acting outside their trade, business, craft or profession. A "business customer" acts for business or professional purposes.
2. Product Selection, Compatibility and Installation
We specialise in technical bicycle components, including precision-fit parts, drivetrain components and electronic systems. Similar-looking products may have different dimensions, voltage, mounting points, communication protocols or manufacturer part numbers.
The customer is responsible for checking compatibility based on:
- Product specifications, including voltage, type, dimensions and communication protocol
- The manufacturer part number
- The bicycle, motor, frame or component model and production year
- Visual comparison with the original component
- Compatibility information stated in the product description
Where available, the part number on the original component should match the ordered product. If unsure, contact us before ordering and provide the requested photographs, measurements, part numbers and bicycle details.
We are not responsible for incorrect selection where the listing was accurate or the customer supplied incomplete or incorrect information. This does not apply if we gave incorrect advice after receiving complete and accurate information.
Safety-critical parts must be installed, configured and tested according to the manufacturer's instructions, preferably by a qualified mechanic. We are not responsible for damage caused by incorrect installation, torque settings, incompatible parts, unauthorised modification or use contrary to instructions, except where liability cannot legally be excluded.
3. Orders and Contract Formation
Placing an order constitutes an offer to purchase the selected products. An automated confirmation acknowledges receipt of the order but does not necessarily constitute final acceptance. The contract is accepted when we confirm the order, begin processing it or dispatch the goods, whichever occurs first.
Orders are subject to payment, availability and acceptance. We may refuse or cancel an order because of:
- Pricing, description or technical errors
- Stock availability issues
- Inability to verify payment or customer information
- Suspected fraud, misuse or unlawful activity
- Restrictions affecting delivery to the selected destination
- An obvious error that a reasonable customer should have recognised
If we cancel an order because we cannot supply it or because of an error on our side, all payments received for the cancelled goods and relevant delivery services will be refunded.
3.1 Order Cancellations Before Dispatch
If you wish to cancel an order, contact us as soon as possible. Cancellation cannot be guaranteed once the order has entered packing, carrier collection or dispatch. A consumer cancellation covered by the statutory right of withdrawal will be processed under Section 8.
For business customers, or voluntary cancellations not covered by mandatory withdrawal rights, we may deduct the actual PayPal, card or other payment-processing fee charged to us and not returned by the provider, but only where permitted by law. Any deduction is limited to the actual non-refundable fee incurred. No processing fee will be deducted where cancellation is caused by our error or inability to supply.
Once dispatched, an order cannot normally be cancelled as an unshipped order. Where applicable, a consumer may instead exercise the statutory right of withdrawal.
4. Prices, VAT, Payments and Import Charges
- Prices are displayed in EUR by default; other currencies may be offered.
- VAT is applied under applicable EU rules. For non-EU deliveries, EU VAT may be removed or adjusted at checkout.
- Import duties, destination taxes, customs-clearance and carrier brokerage fees are excluded unless checkout or the selected shipping method expressly states otherwise.
- Shipping costs are calculated at checkout from the destination, service, weight and dimensions.
- Available payment methods may include card, PayPal and bank transfer.
- Payment providers may retain transaction fees after a refund. Any deduction from a refund is subject to Section 3 and applicable law.
- We may correct obvious pricing or listing errors before accepting an order.
5. Shipping, Delivery and Transfer of Risk
Dispatch and delivery times shown on the website are estimates unless expressly stated to be guaranteed. Delivery may be affected by:
- Carrier or postal-network delays
- Customs inspections and clearance procedures
- Incorrect or incomplete delivery information
- Public holidays, strikes, severe weather or force majeure
- Import restrictions or actions of public authorities
A carrier delay does not remove mandatory consumer rights. For consumer orders, risk of loss or damage passes when the consumer, or a person designated by the consumer other than the carrier, obtains physical possession. If the consumer independently appoints a carrier not offered by us, risk may pass when goods are handed to that carrier where permitted by law.
5.1 Delivery Address and Failed Delivery
The customer must provide a complete and accurate recipient name, address, postal code, email and telephone number where requested, monitor tracking and contact the local carrier promptly when collection, customs clearance or additional delivery information is required.
If a shipment is returned because of an incorrect or incomplete address, failure to collect it, refusal of delivery, failure to complete customs formalities or failure to pay destination charges clearly stated as excluded, we may offer reshipment subject to payment of the additional delivery costs.
If a refund is requested in such circumstances, actual outbound shipping, return shipping, customs or carrier charges incurred by us may be deducted only where permitted by law. No deduction applies where failed delivery was caused by our error.
6. Promotions and Discount Codes
From time to time, we may offer promotions, quantity discounts, discount codes or other special offers. The following rules apply:
- Promotions and discounts cannot be applied multiple times unless expressly stated otherwise.
- Discounts are not cumulative. For example, if a customer buys 2 units of the same product and a 10% quantity discount is applied automatically, an additional promotion such as a first-order discount will not apply to the same product.
- A promotion such as “Buy 2, get 10% off” applies only to the required quantity of the same SKU unless expressly stated otherwise. For example, buying 2 different SKUs does not qualify.
- Discount codes must be entered during checkout and cannot normally be applied retrospectively.
- Only one discount code may be used per order unless expressly stated otherwise.
- Promotions may have product, quantity, customer, country or validity-period restrictions.
- Promotions cannot be combined unless this is expressly allowed.
- We may modify or end promotions for future orders at any time.
- We may cancel an order involving fraudulent, automated or abusive use of a promotion or an obvious error.
Ending or modifying a promotion does not affect an order already accepted, except in cases of fraud, misuse or an obvious error.
7. Consumer Rights
Consumers retain all mandatory rights under Lithuanian and EU law. These rights apply independently of our voluntary 180-day return policy. Business-specific terms do not restrict mandatory consumer rights.
8. Statutory 14-Day Right of Withdrawal
A consumer buying online generally has 14 days to withdraw without giving a reason. For goods, the period normally starts when the consumer, or a designated third party other than the carrier, receives the goods. Where goods from one order arrive separately, the period may start when the final item is received.
8.1 How to Withdraw
Before the deadline, the consumer must submit an unequivocal statement identifying the order and the decision to withdraw. This may be done through our Contract Withdrawal function, by email to info@elanusparts.com, by using the downloadable Model Withdrawal Form (PDF), or by another clear written statement. We will confirm receipt of an online withdrawal without delay by email or another durable medium. Prior authorisation is not required, although contacting us first helps identify and process the return.
8.2 Returning Goods
Goods must be sent back without undue delay and no later than 14 days after the withdrawal notice. Unless agreed otherwise or the goods are defective, the consumer bears the direct return cost. Goods must be securely packed. We recommend tracked shipping and proof of postage.
8.3 Condition and Diminished Value
The consumer may inspect and handle goods only as necessary to establish their nature, characteristics and functioning, as reasonably permitted in a shop. The consumer may be liable for actual diminished value caused by additional handling. Installation, riding, electrical connection, programming, modification, scratching or contamination may reduce value.
8.4 Refund
Where statutory withdrawal applies, we will refund the withdrawn goods and the cost of our least expensive standard delivery method. Any extra cost of a more expensive service, such as express delivery, is not refundable unless required by law or the return results from our error.
The refund will be made without undue delay and no later than 14 days after notification. We may withhold it until we receive the goods or evidence of return, whichever occurs first. The original payment method will normally be used.
8.5 Exceptions
The right of withdrawal does not apply where a legal exception applies, including goods made to specification or clearly personalised, sealed goods unsuitable for return for health or hygiene reasons once unsealed, goods inseparably mixed after delivery, and other exclusions provided by law.
9. Voluntary 180-Day Return Policy
In addition to mandatory consumer rights, we offer a voluntary 180-day return period calculated from delivery. This additional policy does not replace or restrict the statutory 14-day withdrawal right or rights relating to defective goods.
For returns made after the statutory withdrawal period, the following conditions apply:
- The product must be unused and uninstalled
- It must not have been electrically connected, programmed, modified or tested on a bicycle
- It must be undamaged and suitable for resale as new
- All accessories, labels, instructions and original packaging must be included
- Proof of purchase and sufficient order identification must be provided
- The return must be sent within the 180-day period
We may refuse a voluntary return that does not meet these conditions. The customer pays return shipping and original delivery costs are not refunded unless mandatory law requires otherwise or the return results from our error. Products ordered incorrectly because of a compatibility mistake may be returned only if all conditions above are met.
10. Exchanges and Refunds
10.1 Exchanges
We may offer an exchange at our discretion where the returned product is unused, undamaged and suitable for resale. Unless the exchange is required because of our error or a defective product, the customer pays the return cost and any new delivery cost. We may instead process a refund and ask the customer to place a new order.
10.2 Refunds
Returned goods are inspected after receipt. A refund may be reduced or refused only on a lawful and documented basis, including where:
- A voluntary 180-day return does not meet its stated conditions
- The statutory withdrawal right does not apply or was not exercised within the applicable period
- The consumer caused an objectively demonstrable reduction in value
- Only part of the order was returned or the returned goods are not the goods supplied by us
- The goods were damaged after delivery through misuse, incorrect installation or unauthorised modification
- A deduction for actual failed-delivery or processing costs is legally permitted under these Terms
Mandatory consumer rights will not be restricted. After we issue a refund, the time required for it to appear in the customer's account depends on the bank, card issuer or payment provider.
11. Legal Guarantee and Product Conformity
EU consumers benefit from the mandatory legal guarantee of conformity, generally for at least two years from delivery. Goods must match their description, agreed qualities and normal purpose and include required accessories, instructions and updates.
Where goods lack conformity, the consumer may be entitled to free repair or replacement within a reasonable time and without significant inconvenience. Where these remedies are impossible, disproportionate, unsuccessful or not completed as required, the consumer may be entitled to a price reduction or contract termination. Necessary costs of an accepted claim will be borne by us as required by law.
The customer must make goods available for examination and provide reasonable evidence such as photographs, error messages and installation or diagnostic details.
The guarantee does not cover problems caused solely by incorrect installation or adjustment, use contrary to instructions, accident, impact, water ingress, corrosion, normal wear, unauthorised repair or programming, or use with an incompatible component where our compatibility information was accurate. These exclusions do not apply where the cause was a defect, incorrect instruction or incorrect advice from us. Manufacturer warranties are additional to mandatory rights.
12. Business Customers
Consumer withdrawal, consumer guarantee and consumer dispute procedures do not apply to purchases made wholly or mainly for business or professional purposes unless mandatory law provides otherwise. Business customers must inspect goods promptly and report visible shortage, damage or incorrect goods without unreasonable delay. Any commercial warranty is limited to the listing, invoice or manufacturer's warranty terms.
13. Limitation of Liability
Nothing excludes liability where prohibited by law, including fraud, death or personal injury where liability cannot be excluded, intentional misconduct or gross negligence where applicable, mandatory product liability and mandatory consumer rights.
For consumers, we are responsible for foreseeable loss caused by our breach or failure to use reasonable care. We are not responsible for business losses incurred by a consumer. To the extent permitted by law, we are not responsible for loss caused by incorrect selection, installation, torque settings, modification, incompatibility or use contrary to instructions, except where caused by our breach, incorrect advice or a defect for which we are liable.
For business customers, we are not liable for indirect or consequential loss or loss of profit, revenue, business, contracts, goodwill, savings or data. Subject to the exclusions above, our aggregate contractual liability to a business customer will not exceed the amount paid for the products giving rise to the claim, unless law or a written agreement requires otherwise.
14. Fraud, Intellectual Property and Website Use
We may request verification, delay dispatch, refuse or cancel suspicious orders, and restrict service in cases of fraud, abuse or unlawful activity. Personal data used for fraud prevention is processed under our Privacy Policy.
Website text, photographs, graphics, logos, database content and design are owned by or licensed to UAB Elanus and may not be copied, republished, commercially reused, systematically extracted or distributed without permission, except where law permits. The website must not be used for malicious code, interference, unauthorised access or fraud.
15. Privacy and Electronic Communications
Personal data is processed under our Privacy Policy and cookies under our Cookie Policy. Confirmations, invoices, tracking, withdrawal acknowledgements and other contractual communications may be sent electronically.
16. Force Majeure, Law and Jurisdiction
We are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, war, government action, major transport disruption, strikes, infrastructure failure or widespread communications failure. This does not remove mandatory rights to terminate or obtain a refund.
These Terms and website contracts are governed by Lithuanian law. Consumers retain mandatory protection of the country in which they habitually reside where applicable. Business disputes are subject to the competent Lithuanian courts unless mandatory law or written agreement provides otherwise.
17. Complaints and Dispute Resolution
Send complaints to info@elanusparts.com with your contact details, order number, product, circumstances, requested remedy and relevant evidence. Consumer complaints are examined free of charge and answered in writing within 14 days as required by applicable Lithuanian law.
If dissatisfied, a consumer may contact the State Consumer Rights Protection Authority (VVTAT), A. Goštauto g. 12, LT-01108 Vilnius, Lithuania: vvtat.lrv.lt, or use VTIS.
18. Changes and Severability
We may update these Terms for future orders. Changes do not alter an accepted order retrospectively unless agreed or required by law. If any provision is invalid, the remaining provisions continue to apply. Failure to enforce a provision once is not a waiver.
